There is much less heat at the back of a residential fridge, so the existing vents can be at least partly closed off. If the new fridge is sealed tightly into the opening with no circulation space over the top or under the bottom, then the vents should not be completely sealed off. I don't understand your question about noise and rain, since the original vent covers are typically left in place and just closed off inside or underneath where it's not visible from the outside.
