The bed liner will make no difference. The Companion is designed to work with or without a bed liner. Just drop the square post into the hole in the floor of your truck bed and lock it in place using the wheel well lever. Then place the Companion base & u-bolts around it. Next tighten down the bolt that goes through the base into the square post(40 ft lbs). Then tighten the u-bolts (80 ft lbs). I have a rubber bed mat in the bed of my truck and have had no issues.
