To the OP: I am a retired CPA of 25 years and additional 3 years of being in SCORE. All the advise you have received has been excellent bar none. I would add an old saying I have used for years, Trust, But Verify. DO NOT and I mean DO NOT take the current owners information. Do your due diligence and verify independently yourselves that the information is true and correct.
In my career, I have seen way to many individuals buying businesses without independent verification. They buy, then come to us (CPA'S, Attorneys, etc.) because of issues that would of been found out if they done their independent verifications. By then, it is to late and money (working capital) has run out.
You are in the driver's seat with the money, so slow down, verify and get the right people in to independently assess the business.
